Ernest Lee's experience covers all aspects of federal, state, local and international income taxation. He provides advice to businesses, including S corporations, C corporations, limited liability companies and partnerships, and individuals.
Areas of Practice
Business and Corporate Federal Tax Experience:
In addition to extensive US federal, state and local tax compliance experience, Ernest Lee has experience advising clients regarding various corporation and partnership tax and business issues including the following:
- corporate reorganizations, mergers, acquisitions, spin-offs, leveraged buyouts and workout and bankruptcy matters;
- entity formation, entity classification and basis adjustment elections,
- tax-efficient acquisition and disposal structures for both vendors and purchasers;
- due diligence at both the bidding stage and at the preferred bidder stage;
- cash-based, share-based and carried-interest incentive arrangements and executive compensation;
- tax efficient pre-sale and post-sale reorganisations;
- cross-border transactions, including international lending, foreign currency hedging, interest rate swaps and the organization of international finance subsidiaries;
- drafting and negotiating tax indemnities and tax warranties;
- oil and gas transactions involving production payment, overriding royalty and other similar interests;
- real estate tax issues, including REITs and like-kind exchanges; and
- state and local tax planning for corporations, partnerships and individuals.
